Fidelity China Special Situations PLC Results of the General Meeting in relation to the C Share issue At a General Meeting of the Company held on 11 February 2011 all resolutions were duly passed, by over 97% of the shares voted. The Chairman, Mr John Owen commented following the meeting: "I'm delighted that shareholders have overwhelmingly voted in favour of the C Share issue which is expected to commence trading on 28 February 2011" Before the vote, The Chairman explained the following to Shareholders: "The Boards believe that China represents a compelling long term investment opportunity" "The issue of new C shares is subject to your approval at this meeting. If approved, there is no other conditionality relating to the issue and it will proceed subject only to an event which has a major negative impact on the Company's prospects" "Today's published NAV is 102.96p and the Share price published this morning was 107.50p being a premium of 4.41%" "I would like to explain how a C Share converts into an Ordinary Share. If the NAV stays at the same level, then you as a shareholder will have 97.5p per C Share to purchase ordinary shares at NAV. Hence for every 100 C Shares you buy (at today's NAV) you would receive 95 Ordinary Shares, regardless of any premium or discount in the share price at the date of conversion" Following shareholder approval, the C Share issue timetable is as follows: 11.00am on 15 February latest date for receipt of applications under open 2011 offer and offer for subscription 4.30pm on 16 February Placing closes 2011 18 February 2011 Board meeting to allot the C shares 18 February 2011 Announcement of results of the open offer, offer for subscription and placing 28 February 2011 C share admission to London Stock Exchange Christopher Pirnie, FIL Investments International Company Secretary Contact for queries: For Press Enquiries, please contact Anne Read on 020 7961 4409 or 07850 549839 and for all other queries, please contact the Company's Broker, Cenkos Securities plc through Charlie Ricketts 020 7397 1910 or Will Rogers 020 7397 1920
