Result of AGM

The Edinburgh Investment Trust plc HEADLINE: Annual General Meeting Result At the Annual General Meeting of the Company held on 22 July 2011 shareholders approved the following resolutions: Ordinary Business Ordinary Resolutions 1. to receive the Annual Accounts and Reports for the year ended 31 March 2011; 2. to declare a final dividend of 6.55 pence per ordinary share; 3. to re-elect Jim Pettigrew as a Director of the Company; 4. to re-elect Richard Barfield as a Director of the Company; 5. to re-elect Nicola Ralston as a Director of the Company; 6. to re-elect William Samuel as a Director of the Company; 7. to re-elect Sir Nigel Wicks as a Director of the Company; 8. to elect Gordon McQueen as a Director of the Company; 9. to receive and adopt the Directors' Remuneration Report for the year ended 31 March 2011; 10. to re-appoint KPMG Audit Plc as Auditors; 11. to authorise the Directors to determine the remuneration of the Auditors; Special Business (please refer to the Notice of Meeting for the full text of the resolutions) Ordinary Resolution 12. to authorise the Directors to allot securities; Special Resolutions 13. to authorise the Directors to allot securities for cash, disapplying statutory pre-emption rights; 14. to renew the Directors' authority to purchase shares of the Company in the market for cancellation or for holding in Treasury within the parameters specified; 15. to amend the Company's Investment Policy; and 16. that the period of notice required for general meetings of the Company (other than AGMs) shall be not less than 14 days' notice. The resolutions were passed by show of hands. The proxy votes lodged with the Registrar will be available via the Company's website at www.invescoperpetual.co.uk/investmenttrusts Retirement of Scott Dobbie and appointment of Jim Pettigrew as Chairman of the Company The Company confirms that as already announced Scott Dobbie, who had served on the Board since 1998 and as Chairman since 2003 retired at the conclusion of the Annual General Meeting, and that Jim Pettigrew has been appointed to succeed him.
