Director Shareholding

Lawrence plc (the 'Company')                          

                            - Directors' Dealings -                            

The Board of Lawrence plc received notification today, that Mr J W `Ian' Dick,
a non-executive director, who will resign from the Board of the Company on 10th
December 2002, yesterday sold 168,000 Lawrence plc ordinary shares at a price
of 133p per share and accordingly Mr Dick no longer has an interest in the
Company's issued share capital.
