Acquisition of Titan Dynamics Systems, Inc.

FOR IMMEDIATE RELEASE 24 JANUARY 2008 CHEMRING GROUP PLC ACQUISITION OF TITAN DYNAMICS SYSTEMS, INC. Chemring Group PLC ("Chemring") announces that it has conditionally agreed to acquire the entire issued share capital of Titan Dynamics Systems, Inc. ("Titan") from The Allied Defense Group, Inc for a cash consideration of $4.75 million. Titan, based in Marshall, Texas, USA, is a leading manufacturer of battlefield effects simulators ("BES"), which are incorporated into the US Army's and Marine Corps' digital training ranges. Under a five year contract operated by the US Program Executive Office, Simulation, Training and Instrumentation (PEOSTRI), Titan supplies proprietary launchers and cartridges to provide realistic simulation for "force on target" training. Titan also has a range of simulators to meet the evolving training requirements from current deployments. These include a range of Improvised Explosive Device ("IED") effects simulators, and a missile launch simulator which replicates the characteristics of shoulder-launched weapons against land or air targets. The acquisition of Titan builds on Chemring Defence's current range of conventional and cartridge-based military training pyrotechnics, and adds the ability to design, qualify and manufacture launchers which are integrated with training systems operated by the US military and selected training service providers. The combination of Titan's BES range with Chemring Defence's multi-effects cartridge system (MECS) means that Chemring can offer a full range of effects from IEDs to micro-pyrotechnics, which can be used indoors for training in urban warfare. The acquisition has been funded utilising existing bank facilities. Completion is conditional upon, inter alia, the expiry of the thirty day waiting period imposed by an Exon-Florio filing in the US. Commenting on the acquisition, David Price, Chief Executive of Chemring, said: "The acquisition of Titan is an important step to consolidate our leading position in the battlefield effects stimulation market, which is a specialist niche worth about £90 million per year.
