Small Companies Dividend Trust PLC Result of General Meeting 24 August 2012 The Directors of Small Companies Dividend Trust PLC ("SCD Trust") are pleased to announce that at the General Meeting held today, resolutions approving (i) the proposed issue of Zero Dividend Preference Shares ("ZDP Shares") by Small Companies ZDP PLC, a new wholly owned subsidiary of SCD Trust ("ZDPCo"), (ii) an amendment to SCD Trust's investment policy; and (iii) changes to SCD Trust's Articles of Association were duly passed on a show of hands. In accordance with listing rule 9.6.2R, a copy of the resolutions has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do. The number of proxy votes received in favour of the resolutions (including those voted at the Chairman's discretion) and percentages of the votes cast on each resolution was as follows: Resolution 1: 6,308,592 99.4% Resolution 2: 6,308,592 99.4% Resolution 3: 4,493,765 99.2% Following the passing of the resolutions at the General Meeting the placing agreement is now unconditional save only for admission to listing and dealings and 8,500,000 ZDP Shares have been allotted to placees (also subject only to admission). The Prospectus published on 1 August 2012 in connection with the ZDP Share issue referred to the proposed market makers in the ZDP Shares as being Fairfax I.S. PLC ("Fairfax") and Winterflood Securities Limited. Following Fairfax's decision to cease market making at close of business on 14 August 2012, arrangements have been made for Canaccord Genuity Limited to be a market maker in the ZDP Shares. The admission of the ZDP to standard listing and dealings in ZDP Shares on the main market of the London Stock Exchange are expected to commence at 8.00am on 28 August 2012.
