BFS SMALL COMPANIES DIVIDEND TRUST PLC

The Company has today been informed that on 17 June 2002 Exeter Enhanced Income
Fund Limited sold 500,000 Ordinary shares.

As a result of this transaction, portfolios under management of Exeter Asset
Management Limited now hold in aggregate 2,250,000 Ordinary shares,
representing 14.29% of the issued class of capital. These shares are held as
follows;
