In accordance with their obligations under the Transparency Directive (section
5.8.3) AXA S.A. of Paris (on behalf of itself AXA Rosenberg, Sun Life and other
group entities) notified the company on 12 March 2007 that as at 2 March 2007
it held voting rights in respect of 30,127,806 shares representing 9.35% of the
issued share capital of Bodycote International plc on that day.
