Tender Offer

The Board of The Throgmorton Trust PLC (the "Company") announces that it has
decided that in light of the current exceptional market circumstances, and that
the previous tender pool is yet to be fully realised, it would be against the
interests of shareholders as a whole to implement the next tender offer, due in
February.

The Board is committed to recommencing regular tender offers when markets
permit. Under the terms of the circular to shareholders dated 1 August 2008,
the next possible tender offer is as at 1 September 2009 and an announcement in
this regard will be made in due course.
