                      Conversion of Subscription Shares                        

The Board of The Throgmorton Trust PLC announces that subject to listing, it
issued 3,333,920 ordinary shares following the exercise of conversion rights by
holders of subscription shares. The ordinary shares will rank pari passu with
the existing ordinary shares.

It is expected that admission to the Official List and commencement of dealings
in the ordinary shares on the London Stock Exchange will take place at 
8.00 a.m. on 9 August 2011.

Following admission, there will be 66,213,737 ordinary shares (excluding shares
held in treasury) and 6,916,589 subscription shares in issue. 7,400,000
ordinary shares will remain in treasury.
