Transaction in Own Shares

The Board of Baronsmead VCT 3 plc announces that on 12 December 2011 235,000
Ordinary shares of 10p each were sold by the Company from the shares held in
Treasury at a price of 92.5p per share.

The resultant total number of Ordinary shares held in Treasury by the Company
is 7,622,317.

The resultant total number of Ordinary shares that the Company has in issue
following this sale is 67,619,851and the resultant total number of Ordinary
shares that the Company has in circulation following this sale is 59,997,534.
