Please be advised that this announcement replaces the announcement made on
Friday 15 December 2006 at 17.22hrs.   The option price for 43.362 options has
been amended to 121.9p and the sale price of the sold 161,391 shares has been
amended to 153p.   All other details remain the same.

Ashtead Group plc announces that on the 14 December 2006 Sat Dhaiwal exercised
his rights in respect of the following share options:

To meet the tax liability in respect of the exercise, Mr Dhaiwal sold 161,391
shares at a price of 153p per share and retained the balance of 74,932 shares.
As at 14 December 2006 Mr Dhaiwal held a total of 174,512 shares or 0.03% of
the Company's issued share capital.
