Director/PDMR Shareholding

Tate & Lyle PLC (the 'Company') was informed on 8 November 2005 that Mr Stuart
Strathdee, an Executive Director of the Company, had exercised an option under
the Tate & Lyle 2001 Sharesave Scheme over 625 ordinary shares of the Company
('ordinary shares') at 304 pence per share on 2 August 2005. Mr Strathdee now
has an interest in 81,617 shares in the Company.

The notification of this transaction is intended to satisfy the Company's
obligations under both section 324 Companies Act 1985 and Disclosure Rule 3.1.2.
