Next Fifteen Communications Group plc announces that application has been made to the London Stock Exchange for 109,546 new ordinary shares of 2.5 pence each in the Company (‘Ordinary Shares’) to be admitted to AIM.

An application was made in respect of:

44,564 Ordinary Shares expected to be issued as part of the deferred consideration payable under the terms of the acquisition by Next 15 of the entire issued share capital of Encore Digital Media Limited (“Encore”), the acquisition of the remaining 25% minority interest in Encore having been announced on 29 September 2017; and

37,133 Ordinary Shares expected to be issued as consideration for the acquisition by the Company of certain growth shares from management in connection with ODD London Limited 2018 Growth Share Equity Incentive Plan noted in the Company's financial statements for the period ending 31 January 2019;

These new Ordinary Shares will, upon issue, rank pari passu with the existing ordinary share capital of the Company. It is expected that admission will become effective by 7 February 2020.

Following the issue and allotment of these new Ordinary Shares as described above, the Company will have 86,634,345 Ordinary Shares in issue. No shares are held in treasury.

An application was made in respect of:

27,849 Ordinary Shares expected to be issued as part of the deferred consideration payable in respect of the Company’s acquisition of the entire issued share capital of CommunicateResearch Limited, a leading research consultancy, noted in the Company’s announcement on 11 July 2019.

These new Ordinary Shares will, upon issue, rank pari passu with the existing ordinary share capital of the Company. It is expected that admission will become effective by 10 February 2020.

Following the issue and allotment of these new Ordinary Shares as described above, the Company will have 86,662,194 Ordinary Shares in issue. No shares are held in treasury.
