The Company has pleasure in announcing that a circular (the “Circular”) and a tender offer document (the “Tender Offer Document”) have today been posted to shareholders.

The Circular convenes an Extraordinary General Meeting to seek shareholders’ approval for the Company to make a tender offer to its shareholders, such tender offer being for the Company to purchase up to 8,000,000 of its ordinary shares at 52p per share (the 'Tender Offer'). The Company will also seek shareholders’ approval to propose a change to the investment policy of the Company, to adopt new Articles of Association of the Company, to ratify the share buyback programme undertaken by the Company in 2008 and to ratify the Director’s conduct in relation to that share buyback programme.

The Tender Offer is available to all shareholders of the Company on the register as at close of business on 30 April 2009. Of the shares purchased by the Company pursuant to the Tender Offer, those shares, whose aggregate nominal value does not exceed 10 per cent of nominal value of the issued share capital of the Company (following completion of the Tender Offer), will be held in treasury for issue by the Company at a future date. The remainder of the shares so purchased will be cancelled and not re-issued. All the shares so purchased will not rank for any dividends declared or paid on or after completion of the Tender Offer (in the case of treasury shares, only until the shares have been sold out of treasury). The issued share capital of the Company will be reduced by the nominal amount of those Ordinary Shares that are cancelled.

The Tender Offer is conditional upon the passing of a special resolution to be proposed at the Extraordinary General Meeting of the Company to be held on 11 a.m. on Tuesday,

19 May 2009 approving the Tender Offer, and the form of contract to be entered into by the Company and those shareholders participating in the Tender Offer for the purpose of giving effect to the Tender Offer, as set out in the Tender Offer Document.

A copy of the Circular has been submitted to the UK Listing Authority, and (together with the Tender Offer Document) will be available for inspection at the UK Listing Authority’s Document Viewing Facility, which is situated at:
