Result of Annual General Meeting

China Nonferrous Gold Limited 中国有色黄金有限公司 (AIM: CNG), the mineral exploration and development company currently developing the Pakrut gold project in the Republic of Tajikistan, is pleased to announce that all resolutions proposed at the Annual General Meeting of the Company held earlier today were duly passed, including Resolution 14 to cancel the Company’s trading on AIM and certain resolutions relating to the Hong Kong Listing and the Global Offering.

As announced on 6 October 2014, following approval of Resolution 14 by not less than 75 per cent. of votes cast, to enable the transfer of the share register from the Cayman Islands to Hong Kong to take place, the Company’s Existing Shares will be suspended from trading on AIM during the Suspension Period, commencing eleven business days immediately prior to Delisting. The Suspension, Hong Kong Listing and Delisting are now expected to take place later than previously anticipated and the Company will announce an updated expected timetable in due course.

The timing of the Delisting is conditional upon the Hong Kong Listing which itself is subject to, among other things, the approval of the listing sub-committee of the board of directors of the Hong Kong Stock Exchange and may be affected by a number of factors, including the Global Offering and market conditions. The cancellation of the Company’s admission to trading on AIM remains conditional upon the Hong Kong Listing taking place before 28 October 2015.

Project Summary

The Pakrut gold project, of which CNG has 100 per cent ownership, is situated in Tajikistan approximately 120km northeast of the capital city Dushanbe. Pakrut is located within the Tien Shan gold belt, which extends from Uzbekistan into Tajikistan, Kyrgyzstan and Western China, and which hosts a number of multi-million ounce gold deposits.

CNG is currently in a construction phase with mining contractors on site constructing the mine, plant and tailings dam.
