Notification of Director's Interest in Shares

In accordance with the requirements of Chapter 3.1.4 R of the Disclosure and Transparency Rules, Centrica plc announces that on 17 May 2011, Sir Roger Carr, a Director of the Company acquired 31,920 Centrica plc ordinary shares of 6¹⁴/₈₁ pence (“Shares”). The acquisition of the Shares represents less than 0.01% of the Company’s issued share capital.

The Shares were acquired at 313.2821 pence per Share. Following this transaction, the total interest for Sir Roger Carr is 58,361 Shares (less than 0.01% of the Company’s issued share capital).

The Company was notified of the transaction, which took place in London, on 17 May 2011.
