                      TOTAL VOTING RIGHTS AND SHARE CAPITAL

In accordance with the FSA's Disclosure and Transparency Rules, Amlin plc
('Amlin') advises the market that its issued capital as at 31st January
consisted of 477,987,006 ordinary shares of 28.125p each fully paid ('ordinary
shares') and 11,379,418 (unlisted) redeemable non-cumulative preference shares
of 22.4 pence each ('B shares'). The voting rights of the ordinary shares are
identical, with each share carrying the right to one vote. The B shares do not
have voting rights. Amlin holds no treasury shares.

The change in ordinary shares in issue during January resulted from the
exercises of share options. Such issues are included within relevant listings
granted by the UK Listing Authority and the London Stock Exchange.

The above figure of 477,987,006 ordinary shares may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, Amlin
under the FSA's Disclosure and Transparency Rules.
