(“Watermark” or the “Company”)

Result of General Meeting

At the General Meeting of the Company held at 10.00 a.m. today all resolutions were duly passed.

This paves the way for Watermark to sell its wholly-owned subsidiary, Western Utilities Corporation (Pty) Ltd. (“WUC”) to Capricorn Investment Holdings Limited (“Capricorn”) as described in our circular to shareholders of 31 January 2012. Prior to completion of this transaction Capricorn must, inter alia, seek approval from its shareholders at a general meeting and make certain regulatory filings. Completion is expected to take place during April 2012.

In connection with its acquisition of WUC, Capricorn will publish a circular and listing particulars which will be available following its approval by the Johannesburg Stock Exchange. The Capricorn circular, for which the directors of Capricorn are solely responsible, will contain information concerning Capricorn and its plans which Watermark shareholders may find useful. It will also contain the audited results of WUC, Watermark’s subsidiary, for the year ended 31 December 2011, which show that WUC reported a loss before tax of ZAR 14.3 million on turnover of ZAR 1.4 million and had net assets (excluding inter-group loans) of ZAR 31.7 million, of which intangible assets represented ZAR 45.1 million.

Further announcements will be made as appropriate to update shareholders on the progress of the transaction.
