    LONDON--(BUSINESS WIRE)--Nov. 12, 2002--

ARC International PLC ("the Company")

The Company received notification today from Mourant & Co. Trustees
Limited as the trustees of the ARC International PLC Employee Benefit
Trust ("EBT") informing it that they have purchased today 4,992,009
ordinary shares at 28p per shares representing 1.67%. The EBT now
holds 5,992,099 shares representing 2.0% of the issued ordinary share
capital of the Company.

The shares have been purchased to satisfy option awards under the
Company's share option schemes.

The announcement is made for Companies Act purposes, solely in the
interest of transparency due to the structure of the purchase
arrangements and the "potential" beneficial interests of the
employees, former employees and Directors of the trust in the event of
any residual share remaining after exercise of option grants. No
shares have been granted to Directors or senior management.
