ARC International plc (the "Company")

Application has been made to the UK Listing Authority and to the London Stock
Exchange for a Block Listing of 5,460,314 ordinary shares if 0.1p each to be
admitted to the Official List.

The shares, which will rank pari passu in all respects with the existing
ordinary shares in issue, will be allotted pursuant to the rules of the
following schemes:

ARC International plc 2000 Incentive Stock Option sub-plan - 3,500,000 shares

ARC International plc 2000 Approved Executive Share Option plan 427,500 shares

ARC International plc 2000 Unapproved Executive Share Option plan - 1,177,137
shares

ARC International plc 2000 Share Save Scheme - 355,677 shares

The shares will not be allotted immediately but as and when the scheme rules
allow.
