Paladin Resources plc (the "Company")

RESIGNATION AND APPOINTMENT OF DIRECTORS

On 18 November 2005, Talisman Energy Resources Limited announced that all of the
conditions of its recommended offer for the whole of the issued and to be issued
share capital of the Company (the "Offer") had been satisfied or waived and
that, accordingly, the Offer had been declared wholly unconditional.

With effect from the close of the board meeting of the Company which was held on
21 November 2005, Roy Franklin OBE (Chief Executive), Cuth McDowell (Finance
Director) and Paul Davison (Technical and Operations Director) have resigned as
executive directors of the Company, and Malcolm Gourlay (Chairman), Iain
Paterson, William Turcan and George Watkins have resigned as non-executive
directors of the Company.  James W. Buckee (Chairman), M. Jacqueline Sheppard,
A. Paul Blakeley, David Mithen and John Forrest have been appointed as directors
of the Company (the "New Directors").  With effect from the close of the same
board meeting of the Company, Sally Powell has resigned as Company Secretary and
Jacquelynn Craw has been appointed as Company Secretary.

Of the New Directors, only James W. Buckee has served as a director of another
publicly quoted company in the previous five years (being Talisman Energy Inc.,
which is listed on both the Toronto and New York stock exchanges) and he remains
a director of that company.  None of the New Directors: (i) has any unspent
convictions in relation to indictable offences; (ii) has been involved in any
receiverships, compulsory liquidations, creditors voluntary liquidations,
administrations, company or partnership voluntary arrangements, any composition
or arrangement with creditors generally or any class of creditors of any company
where he was an executive director or partner at the time of, or within the 12
months preceding, such event; and (iii) has had any public criticisms by
statutory or regulatory authorities (including recognised professional bodies)
or has ever been disqualified by a court from acting as a director of a company
or from acting in the management or conduct of the affairs of any company.
