Re:  Xansa plc Scrip Dividend


Xansa plc (the "Company") announces that 1,142,037 ordinary shares of 5 pence
each ("Ordinary Shares") have been admitted to the Official List and dealings
commenced on Thursday, 29 September 2005.  These Ordinary Shares have been
issued as a result of elections received pursuant to the Company's scrip
dividend offer in respect of the final dividend for the year ended 30 April
2005.  These Ordinary Shares will rank pari passu with the Company's existing
issued Ordinary Shares.

The Company further announces that it received notification on 29 September 2005
that the following directors were allocated Ordinary Shares having elected to
participate in the scrip dividend offer at 92 pence per Ordinary Share.

Mr W J Alexander:     242 Ordinary Shares increasing his beneficial and 
                      non-beneficial interests in the Company's Ordinary Shares 
                      to 30,650;

Mr D M Thomas:        262 Ordinary Shares increasing his beneficial and 
                      non-beneficial interests in the Company's Ordinary Shares 
                      to 11,502.

Mrs M Cox, wife of Xansa's Chief Executive, Mr A R Cox, also notified the
Company on 29 September 2005 that she had participated in the scrip dividend
offer and had received 2,503 Ordinary Shares.  As a consequence Mr Cox's
beneficial and non-beneficial interests in the Company's Ordinary Shares had
increased to 128,298.


The Company further announces that it received notification on 30 September 2005
that Towers Perrin Share Plan Services (Guernsey) Limited had purchased 22,366
Ordinary Shares on 29 September 2005 at a price of 92.5345 pence each.

Towers Perrin Share Plan Services (Guernsey) Limited is trustee of The Xansa plc
2004 Employee Benefit Trust (the "Trust").  The Trust is a discretionary trust
for the benefit of employees of the Company and its subsidiaries, which operates
in conjunction with the Company's Employee Share Schemes.  The total holding of
the Trust amounts to 715,339 Ordinary Shares.

Executive directors who are potential beneficiaries of the Trust are:-

Mr A R Cox
Mr S Srivastava
Mr G M Stuart
Mr S R Weston


These notifications relate both to a transaction notified in accordance with DR
3.1.4R(1)(a) and DR 3.1.4(R)(1)(b) of the Disclosure Rules, the latter being a
disclosure made in accordance with section 324 (as extended by section 328) of
the Companies Act 1985.
