Notice of General Meeting

Further to the Company's notification of 7 February 2024 (RNS 3106C, the "Proposed Disposal" ), the Board is now seeking Shareholder authority in order to: (1) proceed with the Disposal (as defined in the Proposed Disposal notification of 7 February 2024); (2) allot up to 400 million new shares in the capital of the Company at 0.075p per Share to raise £300,000; and (3) allot such capital on a non-pre-emptive basis. This will give the Company the flexibility to issue new shares in the event that the Disposal is approved and discussions with the group of individuals who it is proposed would come in as a new management team are successful.

There is no guarantee that such a proposal will proceed, as it remains at an exploratory stage and the Company will update the market with further information as soon as it is available.

An explanatory Circular is being issued to Shareholders today.

Consequently, the Company is convening a General Meeting on 28 February 2024 at 11 am GMT at the offices of Peachey & Co LLP, 7th Floor, 95 Aldwych London, WC2B 4JF.

Copies of the following documents, which contain details of the resolutions to be voted on at the General Meeting, are today being posted to the Company's shareholders:

1.    Circular to Shareholders dated 9 February 2024;

2.    Notice of the General Meeting of the Company; and

3.    Form of proxy for use at the General Meeting.
