RECOMMENDED CASH ACQUISITION

Zephyr Bidco Limited ("Bidco")
Announcement of Cancellation of Listing
On 11 May 2018, ZPG and Bidco announced that they had reached agreement on the terms of a recommended cash acquisition by Bidco of ZPG's entire issued and to be issued ordinary share capital (the "Acquisition"). The Acquisition is to be effected by means of a Court approved scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").
Further to the announcement by ZPG and Bidco on 11 July 2018 that the Scheme has now become effective in accordance with its terms, ZPG confirms that the listing of ZPG Shares on the Official List of the UK Listing Authority and the trading of ZPG Shares on the main market for listed securities of the London Stock Exchange has been cancelled with effect from 8.00 a.m. today.
Capitalised terms used but not defined in this announcement have the meanings given to them in the scheme document published on 23 May 2018 containing the full terms and conditions of the acquisition by Bidco of the entire issued and to be issued share capital of ZPG (the "Scheme Document"). Bidco is a wholly-owned indirect subsidiary of funds managed by Silver Lake Management Company V, LLC ("Silver Lake").
