Result of General Meeting

 

 

Octagonal, the AIM traded investing company focused on opportunities within the financial services' sector, is pleased to announce that, at the General Meeting held at 10.00am today all resolutions were passed. Accordingly, subject only to Admission becoming effective from 8.00am on 30 June 2015, Octagonal will complete the acquisition of 100% of Global Investment Strategy (UK) Limited and become a financial services company, providing settlement and safe custody services to smaller institutional funds, family wealth offices and high net worth investors along with other ancillary services.

 

Resolution 3, placed before the meeting in respect of the approval of the waiver under Rule 9 of the City Code on Takeovers and Mergers ("City Code"), and taken on a poll was approved. The result of the poll was 351,684,090 votes for; 31,817 votes against; and no votes withheld. Accordingly, the Vendors, being John Gunn, Suki Gunn and Corstone LLP as well as David Lenigas and Nilesh Jagiata and persons deemed to be acting in concert with them under the City Code ("Concert Party"), will hold 345,336,133 New Ordinary Shares, representing 61.64 per cent. of the Enlarged Issued Share Capital on Admission.

 

On Admission, following completion of the Proposals, the Company will have an issued share capital of 560,226,886 Ordinary Shares of 0.05p each.
