Results of AGM and Board Change

Wellnex Life Limited ("Wellnex" or the "Company") (ASX | AIM: WNX), advises in accordance with ASX Listing Rule 3.13.2 and section 251AA of the Corporations Act 2001 (Cth), details of the results and proxies received in respect of each resolution tabled at its 2025 Annual General Meeting ("AGM").

All resolutions set out in the Notice of AGM and Explanatory Memorandum dated 28 October 2025, were duly carried by poll, including resolution 14 which was passed as a special resolution by a sufficient majority, save for resolution 2B, which was not carried and resolution 13 which was withdrawn, as announced earlier today.

As a result of Resolution 2B not being carried, Mr Ruari McGirr has resigned from the Board effective at the conclusion of the AGM. The Board would like to thank Mr McGirr for his contribution to the Company in securing its UK listing and his contribution as a director. The Board expects to commence the search for a new non-executive director with experience in the Company's European target markets and will provide a further update in due course.
