Employee Benefit Trust

The Company was notified on 6 March 2015 that Appleby Trust (Jersey) Limited as trustee of the Urban&Civic Employee Benefit Trust (the "EBT") had purchased 1,442,709 Ordinary shares of 20p each in the capital of the Company ("Shares") at an average price of 255p per share.  The transactions took place in London.

Immediately following the above transactions, the EBT held 1,485,303 shares, representing approximately 1.06% of the Company's issued share capital.  The executive directors, together with other employees, are potential beneficiaries under the EBT and are therefore treated as having an interest in such Shares.
