Transfer of shares to Material Risk Takers and Material Risk Controllers

 

This is to inform you that, in line with the UBL's Risk Aligned Remuneration Framework, the deferred portion of variable compensation for Material Risk Takers (MRTs) and Material Risk Controllers (MRCs) is held in a trust-managed pool. This pool comprises of UBL shares and Government Securities acquired from the open market through a brokerage house on behalf of the Trust.

 

Each year, one-third of the deferred variable compensation for a given year vests and the corresponding UBL shares are transferred to the respective employees of UBL.

 

Accordingly, 294,175 shares of the Bank have been credited to the respective CDC accounts of 48 employees of UBL on April 02, 2026 through a brokerage house at the purchase price. The said transfers of UBL shares includes 244,820 shares allocated/transferred to 26 employees designated as executives in terms of Securities Act, 2015 and PSX Regulations, as per the attached annexure. These transfers of shares are part of the first, second, and third tranches of deferred compensation for the years 2024, 2023 and 2022 respectively.
