Merger Announcement and Confirmation of Director Appointments for Thrive Homes Finance PLC

Thrive Homes Finance PLC (the Issuer) announces that on 31 May 2026, Thrive Homes Limited (Registered Society no. 30398R) (Thrive Homes), the parent of the Issuer, merged with Watford Community Housing Trust (Registered Society no. 30183R) (WCHT), trading as Chime Housing. The merger was effected by way of Thrive Homes transferring its engagements into WCHT in accordance with the statutory process set out in Section 110 of the Co-Operative and Community Benefit Societies Act 2014.

The increased financial resilience and operating efficiencies that the merger provides will enable increased investment in existing homes, continued development of new homes and the ability to deliver improved services to enhance customer experience. Completion follows comprehensive due diligence, regulatory approvals and consultation with customers.

From 1 June 2026 Rachel Hatfield will be Interim Chair of Chime Housing following the untimely death of WCHT Chair Hattie Llewelyn-Davies on 23 May 2026. A decision on the permanent Chair of Chime Housing will be considered in due course.

WCHT is a charitable housing association registered in England as a Community Benefit Society (Reg. 30183R) and registered with the Regulator of Social Housing (L4495).

Following the completion of the merger, the Board of Thrive Homes Finance PLC has approved the resignation of James Invine as Chair with effect from 31 May 2026.

On Monday, 1 June 2026 the following appointments have been made to Thrive Homes Finance PLC:
