At the Company's forthcoming AGM, Independent Voting Advisors ISS and Glass Lewis each recommends shareholders vote:

·    FOR Resolutions 1-14

·    AGAINST shareholder-proposed Resolution 15 proposed by Kelso to appoint Graeme Coulthard as a director of the Company.

The recommendations from ISS and Glass Lewis are in line with the unanimous voting recommendation of the Company's board of directors.

The Company's AGM will be held at the offices of Squire Patton Boggs LLP, 60 London Wall, London EC2M 5TQ, on 07 September 2026 at 2:00 p.m. All Proxy Forms and electronic proxy appointments must be received by 2.00 p.m. on Thursday 3 September 2026. Shareholders should submit their votes as soon as possible and note that voting deadlines through nominees or investment platforms may be earlier.
