NOTICE OF INTENTION TO DELIST

Reference is made to The St. Lawrence and Ottawa Railway Company ("S&O")'s 4% Sterling 1^st Mortgage Bonds (the "Bonds") that are listed on the debt and debt-like securities listing category of the Official List of the UK Financial Conduct Authority (the "FCA") and admitted to trading on the Main Market of the London Stock Exchange (the "LSE") under the following International Securities Identification Number ("ISIN"):

1. GB0007691073

S&O has requested (i) the FCA to cancel the listing of the Bonds on the debt and debt-like securities listing category of the Official List of the FCA, and (ii) the LSE to cancel the admission to trading of the Bonds on the Main Market for listed securities of the LSE (collectively, the "Delisting").

It is intended that the Delisting will become effective from 8:00 a.m. (BST) on 29 August 2025, such that the last date of trading of the Bonds on the LSE will be 28 August 2025.
