("Skillcast" or the "Company")

Director Dealings

Skillcast (AIM: SKL), the governance, risk and compliance ("GRC") software and e-learning provider, announces that on 10 June 2026, to facilitate the introduction of a new high-quality institutional investor onto the register, who was unable to establish a meaningful position through the market due to limited liquidity, Vivek Dodd, CEO, Anthony Miller, CTO, and Catriona Razic, CCO (the "Selling Shareholders") have sold 1,800,000, 500,000 and 200,000 ordinary shares of £0.001 each in the Company ("Ordinary Shares") respectively. Following this transaction the three selling shareholders will retain 69.83% of the issued share capital.

Each of the three selling Directors have entered into a 12-month lock-in agreement not to dispose of further Ordinary Shares without the prior written consent of Cavendish Capital Markets Limited, save for customary exceptions. Cavendish also retains the right to release Directors from this obligation to satisfy future institutional demand that cannot otherwise be met through the market.

Following the sale, the Selling Shareholders shall have the following resultant shareholdings:
