Director/PDMR Shareholding

Sealand Capital Galaxy Limited (LSE: SCGL) announces that, further to its announcement on 30 March 2026, Mr. Siqi Cao, an Executive Director of the Company, has informed the Company that, as Admission of the Conversion Shares and Warrant Exercise Shares has occurred today, Mr. Cao has completed the conversion and exercise of a total 2,745,973,830 new Ordinary Shares of £0.0001 each in the capital of the Company (the "Transactions"). The price pursuant to the Conversion Shares is £0.0015 per Ordinary Share and the price pursuant to the Warrant Exercise Shares is £0.0030 per Ordinary Share.

Following the Transactions, Mr. Cao's total beneficial interest in the Company will be 3,190,345,063 Ordinary Shares, representing 48.73 per cent. of the Company's total voting rights.

In addition, following the Transactions and the Warrant Transfers of 57,628,767 Conversion A Warrants and 57,628,767 Conversion B Warrants from Mr. Ng Cheuk Lun, Mr. Cao holds 979,849,931 Conversion A Warrants exercisable at £0.0030 per Ordinary Share and 1,891,726,264 Conversion B Warrants exercisable at £0.00375 per Ordinary Share, in each case exercisable for a period of two years from the date of grant, being until 12 November 2027. If all such warrants were exercised in full, Mr. Cao would hold a further 2,871,576,195 Ordinary Shares.
