Transaction in Own Shares

At the Annual General Meeting of the Company held on 8 July 2004, shareholders
granted the Company authority to purchase up to 23,511,540 of its own £1
ordinary shares.


The Company announces that it has today repurchased for cancellation 670,000 £1
ordinary shares at a price of 545p per share. This is the first repurchase under
the above authority and the issued share capital following cancellation of the
shares repurchased will be 156,178,167 £1 ordinary shares.
