Further to the announcement on 8 July 2004 that Mr James Leigh-Pemberton and Mr
Nathaniel Rothschild are appointed as non-executive directors of RIT Capital
Partners plc, effective from 1 August 2004, the following information is
disclosed in compliance with Chapter 16 of the UKLA Listing Rules:

Mr James Leigh-Pemberton

No directorships in other publicly quoted companies have been held by Mr
Leigh-Pemberton in the previous five years.

There are no details requiring disclosure under paragraphs 6.F.2(b) to (g) of
the UKLA Listing Rules.

There are no interests held by Mr Leigh-Pemberton in the ordinary share capital
of RIT Capital Partners plc requiring disclosure.

Mr Leigh-Pemberton will be a member of the Company's Audit Committee,
Nominations Committee and Remuneration and Conflicts Committee from the date of
his appointment as a director.

Mr Nathaniel Rothschild

Mr Rothschild is a current director of Champps Entertainment Inc (US) and a
former director of Vivarte SA (France). No other directorships in other publicly
quoted companies have been held by Mr Rothschild in the previous five years.

There are no details requiring disclosure under paragraphs 6.F.2(b) to (g) of
the UKLA Listing Rules.

Mr Rothschild's interests in the ordinary share capital of RIT Capital Partners
plc comprise the following:

6,326,909 shares (4.03% of issued) held beneficially and
0 shares held non-beneficially

Note: the balance of shares shown above as held beneficially by Mr Rothschild
include a total of 2,789,002 shares that have already been disclosed as
interests of Lord Rothschild, 187,331 of which are held by him beneficially and
2,601,671 non-beneficially. These interests are held in family trusts in which
both Lord Rothschild and Mr Rothschild are interested, either as trustee or
beneficiary.
