Share Buyback Programme

28 September 2026 - QinetiQ Group plc ("QinetiQ" or the "Company") confirms the completion by Deutsche Bank AG, London Branch (trading for these purposes as Deutsche Numis) ("Deutsche Numis") of the latest £50 million tranche of its share buyback programme, as announced on 25 March 2026.  This was the third tranche of the £200 million extension to its share buyback programme that was announced by QinetiQ on 17 March 2025, for execution over the following two years (the "Programme").

QinetiQ has today entered into an arrangement with Barclays Bank PLC, acting through its investment bank ("Barclays"), to complete the Programme through the execution of the fourth tranche of the Programme, with a maximum aggregate value of up to £50 million (the "Fourth Tranche") which is expected to complete by no later than 31 March 2027.

The arrangement allows Barclays to purchase Ordinary Shares in the Company, on the Company's behalf, pursuant to its buyback programme during the period from the date of this announcement to 31 March 2027. These share purchases will be made by Barclays acting as riskless principal and in accordance with the arrangement and, in the case of any purchases made during closed periods, shall be made independently of and uninfluenced by the Company.

Any shares purchased under the Fourth Tranche will be subject to the terms of the arrangement with Barclays and will be effected in a manner consistent with both the general authority vested in the Company to repurchase shares and the UK Listing Rules, including under the authority granted by shareholders at QinetiQ's Annual General Meeting held on 16 July 2026 (the "2026 Authority").  The maximum remaining number of shares that may be purchased pursuant to the 2026 Authority is 49,575,634 Ordinary Shares.

The aggregate purchase price under this arrangement, together with any other Ordinary Shares purchased on the Company's behalf pursuant to the Programme, will not exceed £50 million.

Any share purchases under the Programme will be carried out on the London Stock Exchange, and any other UK recognised investment exchange which may be agreed under the arrangement with Barclays, and in accordance with Chapter 12 of the UK Financial Conduct Authority's Listing Rules, and Regulation (EU) No 596/2014 and Commission Delegated Regulation (EU) No 2016/1052 (both as they form part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018), including where relevant pursuant to the UK Market Abuse (Amendment) (EU Exit) Regulations 2019.

Any Ordinary Shares purchased pursuant to the Programme will be cancelled, and the number of Ordinary Shares in issue reduced accordingly.  The sole purpose of these share purchases is to reduce the Company's share capital.
