In conformity with the Disclosure and Transparency Rule 5.6.1, ProVen VCT plc announces the following:

The Company's capital at 31 March 2012 consisted of:
38,592,927 Ordinary Shares of 5 pence each,
14,409,023 'C' Shares of 25 pence each, and
8,242,901 'D' Shares of 1 pence each.

The Company does not hold any shares in treasury.

Therefore, the total number of voting rights in ProVen VCT plc is 61,244,851.

The above takes account of any shares that have been recently bought back for cancellation, even if such transactions have not yet settled.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, ProVen VCT plc under the FSA's Disclosure and Transparency Rules.
