Plus500 Ltd.
("Plus500", the "Company" or, together with its subsidiaries, the "Group")
Acquisition of Guru, a broker-dealer in Brazil, the second largest derivatives market globally[1]
Plus500, a global multi-asset fintech group operating proprietary technology-based trading platforms, is pleased to announce that it has conditionally agreed to acquire the full ownership of Guru Corretora de Títulos e Valores Mobiliários Ltda ("Guru"), a regulated broker-dealer in Brazil (the "Acquisition"). The Acquisition further accelerates Plus500's growth strategy in Latin America, building on its existing B2B partnership with Nelogica and its local presence in Colombia.
Compelling strategic rationale with entry into Brazil, Latin America's largest economy
The Acquisition provides Plus500 with a direct local presence in Brazil, Latin America's largest economy and one of the world's most dynamic retail trading markets, and represents an exciting next step in the Group's regional expansion, following its recent entry into the Colombian market.
Guru is a registered broker-dealer, regulated by the Central Bank of Brazil ("BCB") and the Securities and Exchange Commission of Brazil ("CVM"). Guru's local expertise will accelerate growth and enable the delivery of new products and services to local customers, and its regulatory framework will allow the Group to build and broaden its local offering to include Brazilian stocks, futures, options and fixed income securities.
The Acquisition also advances Plus500's wider ambition to provide customers across Latin America access to US derivatives markets and a more comprehensive product offering. Powered by its proprietary technology and regulatory expertise, Plus500 will also continue to pursue additional growth avenues across Latin America, both organically and inorganically.
Bolt-on acquisition strategy driving shareholder value and structural growth
The Acquisition reflects the Group's disciplined approach to targeted bolt-on M&A: acquiring strategic businesses backed by local regulatory licences, market access and operational expertise, and subsequently scaling them using Plus500's proprietary technology and product innovation. Plus500 will fund the Acquisition entirely from existing cash resources of over $860m as of 30 June 2026 with the consideration payable upon completion, subject to customary regulatory approvals and other standard closing conditions.
This transaction marks Plus500's second strategic acquisition within approximately one week, following the recent announcement of the Hedge acquisition in the US. Delivering on these consecutive milestones provides a strong testament to the Group's disciplined execution capabilities, its proven track record in delivering against core strategic priorities, and its ongoing commitment to driving long-term shareholder value creation.
David Zruia, Chief Executive Officer of Plus500, commented:
"Brazil is one of the world's most attractive trading markets, and acquiring Guru gives us the licence, the experienced local team and the regulatory framework to thrive. By combining our proprietary technology and multi-asset trading expertise with our recently announced Nelogica partnership, we can now offer a far broader range of products, including access to US derivatives. This is another clear step in our value creation strategy to deepen our offering and reach new markets."
