PDMR Dealing

Pantheon announces that it was notified on 3 June 2026 that Michael Spencer, Non-Executive Chairman, purchased Contracts for Difference ("CFDs") over 5,000,000 ordinary shares of 1 pence each in the Company at an average price of 14.6 pence per CFD, with specific purchase information as follows: (i) 2,879,258 CFDs at a price of 15 pence per CFD on 1 June 2026, and (ii) 2,120,742 CFDs at a price of 14 pence per CFD on 2 June 2026.

Following the purchase, Lord Spencer has an interest in 83,993,558 shares in Pantheon representing 5.8% of the currently issued share capital. 15,957,230 of these shares are held directly in his personal name and 68,036,328 are held through his wholly owned entity, IPGL Limited.   Lord Spencer is also the holder of 26,477,585 Financial Instruments of similar economic effect in his own name, with an additional 1,036,616 held through IPGL Limited, representing 1.9% of the issued share capital of Pantheon. In total, Lord Spencer has an interest in 111,507,759 shares representing 7.6% of the issued shares in Pantheon.
