Total Voting Rights

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules (DTR), the Company is required to notify the market of its total number of voting rights and capital as at the end of each calendar month.

As at 31 July 2015, the issued share capital of the Company is comprised of the following:

1,242,426,055 Sterling Shares (of which 16,775,634 are held in treasury and are not eligible to vote)
58,868,713 US Dollar Shares (of which 75,000 are held in treasury and are not eligible to vote).

Sterling Shares have 1.6 votes per share and US Dollar Shares have 1 vote per share.

Therefore, the total number of voting rights in the Company is 2,019,834,386 and may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
