Update in relation to the publication of Annual Report and Accounts
Impairment in associate company

MobilityOne (AIM: MBO), the e-commerce infrastructure payment solutions and platform provider, provides the following update in relation to its annual report and accounts for the year ended 31 December 2025 ("FY 2025") and Sincere Acres Sdn Bhd ("Sincere").
On 30 June 2026 the Company announced, amongst other matters, that the preparation of the Company's financial statements for FY 2025 has been ongoing and that the Company's audited annual report and accounts for FY 2025 would not be finalised by the end of June 2026, as stipulated under Rule 19 of the AIM Rules for Companies. It was further noted on 30 June 2026 that additional analysis was required to be completed by the Company's component auditors in Malaysia in connection with the Group's 49% owned associate company, Sincere Acres Sdn Bhd and its wholly owned subsidiary, Hati International Sdn Bhd ("Hati").
Further to the Company's announcements released on 30 June 2026 and 31 July 2026, the Group now expects to publish its audited annual report and accounts for FY 2025 in September 2026.
Whilst the finalisation of the audited accounts remains ongoing, for FY 2025 the Group expects to report revenues of £236.10 million for FY 2025 (FY 2024: £230.23 million) and a loss after tax of approximately £4.88 million for FY 2025 (FY 2024: £3.45 million loss after tax). As at 31 December 2025, the Group had cash and cash equivalents (excluding other financial assets comprising fixed deposits with maturities exceeding three months) of £3.43 million (31 December 2024: £3.98 million). Secured loans and borrowings from financial institutions increased to £7.38 million as at 31 December 2025 (31 December 2024: £7.07 million), mainly for the Group's working capital requirements.
All figures stated for FY 2025 are based on unaudited financial figures and are subject to finalisation of the Group's audit.
Impairment in associate company
As part of the ongoing preparation of the Company's audited annual report and accounts for FY 2025, the Group and the Company assessed the recoverability of the carrying amount of their 49% equity interest in Sincere, which holds a 100% equity interest in Hati. The recoverable amount of the investment was determined based on its value in use, using a discounted cash flow model based on cash flow projections covering a five-year explicit forecast period approved by management.
Based on the impairment assessment, the recoverable amount of the Group's investment in the associate company is expected to be approximately £2.5 million. Accordingly, an impairment loss of approximately £1.9 million is expected to be recognised in the Company's annual report and accounts for FY 2025, contributing to a higher net loss for the Group in FY 2025.
The Company's ordinary shares remain suspended pending publication of its audited annual report and accounts for FY 2025.
Update in relation to Sincere Acres Sdn Bhd
On 4 October 2023, the Company announced, amongst other matters, that MobilityOne Sdn Bhd ("M1 Malaysia"), the Group's wholly-owned operating subsidiary in Malaysia, had completed the acquisition of a 49% equity interest in Sincere for a cash consideration of RM30,000,000. It was further announced that whilst the first tranche, representing RM2.0 million, had been paid by M1 Malaysia to United Flagship Development Sdn Bhd (the "Vendor"), the second tranche, representing the balance of RM28.0 million (the "Second Tranche"), was required to be paid by M1 Malaysia by 8 March 2024 (the "Second Tranche Payment Date").
The Second Tranche Payment Date has been subject to several prior extensions, as announced by the Company most recently on 26 June 2026.
On 28 August 2026, the Vendor agreed with M1 Malaysia to further extend the Second Tranche Payment Date for payment of the Second Tranche plus accrued interest to the earlier of: (i) 31 October 2026; or (ii) 21 days from date of approval from Nasdaq for the completion of a merger exercise between Technology & Telecommunication Acquisition Corporation and Super Apps Holdings Sdn Bhd ("Super Apps"), which includes M1 Malaysia's joint venture with Super Apps. Details of the merger exercise and proposed joint venture was most recently announced by the Company on 27 August 2026.
As part of this extension, M1 Malaysia has agreed to pay the Vendor in cash the accrued interest for the period from 1 September 2026 to 31 October 2026 totalling RM470,502 in two equal monthly instalments in September 2026 and October 2026. A total of RM1,400,000 in accrued interest for the period from 9 March 2024 to 8 September 2024 remains outstanding and the parties have agreed as part of the extension that this will be paid by M1 Malaysia at a later date but in any event by no later than 31 October 2026.
In line with the Second Tranche payment terms, any payment made in relation to the outstanding amounts on the Second Tranche will continue to be subject to an interest charge of 10% per annum.
All other terms of the acquisition of Sincere are expected to remain unchanged.
