Mitie Group plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and their Closely Associated Persons

On 22 June 2026 Simon Kirkpatrick and Peter Dickinson were granted options over Ordinary shares of 2.5 pence each in the Company under the Company's Long Term Incentive Plan ("LTIP").

The performance conditions attaching to the LTIP are Revenue, EPS and ROIC, each accounting for 33.3% of the award. The Committee will also have reference to ESG and leverage during the period and has the discretion to adjust the award accordingly. Notwithstanding the above, the Committee still has full discretion to ensure that the level of any vesting out-turn is appropriate based on the overall performance of the Group and the shareholder and employee experience. 

The number of shares under award has been determined using the lowest average closing share price up to five dealing days prior to the start of the financial year on 1 April 2026 (being 167.27p), to provide direct alignment with the performance period. This award therefore represents a grant level of 200% of salary for Simon Kirkpatrick.
