The Awards will vest subject to satisfaction of performance conditions and continued employment. The performance targets that apply to the awards are as follows:

Relative TSR against constituents of FTSE 100 index (excluding investment trusts) for FY2026 – FY2028	30%	Median	Upper quartile

25% of the Award will vest at threshold performance and 100% of the Award will vest at maximum performance. There will be straight line vesting between these points and nil vesting for below threshold performance.

Each Award is also subject to a minimum requirement for satisfactory personal performance by the participant during the three-year performance period.

Following the vesting of Awards, any vested Shares received by the Executive Directors are subject to a holding period which expires on the fifth anniversary of the date of grant, during which time the Shares may not be sold.

This announcement is published in accordance with the disclosure requirements that apply by virtue of the Company's primary listing on the London Stock Exchange.
