Substitution of Issuer and Accession of Guarantors

Further to the announcement on 29 January 2026, that LiveWest Homes Limited (the Initial Guarantor) became a subsidiary of Bromford Flagship Limited, LiveWest Treasury plc (the Outgoing Issuer) now announces that:

(a)  on 2 February 2026, Bromford Flagship Limited has been renamed Bromford Flagship LiveWest Limited (BFL); and

(b)  on 4 February 2026:

(i)   in accordance with Clause 25 (Substitution) of the Note Trust Deed originally dated 24 September 2019 (as amended and restated for the purpose of the Notes referred to below), LiveWest Treasury plc will, with the consent of M&G Trustee Company Limited (the Note Trustee), substitute in its place BFL (as such, the New Issuer) as the principal debtor under the Note Trust Deed and the following Notes (the Substitution):

(A)     £250,000,000 2.25 per cent. Guaranteed Secured Notes due 2043 (ISIN: XS2063505718);

(B)     £100,000,000 5.576 per cent. Guaranteed Secured Notes due 2048 (ISIN: XS0975249714);

(C)     £250,000,000 1.875 per cent. Guaranteed Secured Notes due 2056 (ISIN: XS2297540093);

(D)   £100,000,000 5.074 per cent. Guaranteed Secured Sustainability Notes due 2034 (ISIN: XS2875139094); and

(E)  £75,000,000 5.000 per cent. Guaranteed Secured Green Notes due 2031 (ISIN: XS3006249448);

(ii)  Bromford Housing Association Limited, Merlin Housing Society Limited and Flagship Housing Limited (together, the Acceding Guarantors), each being subsidiaries of BFL, will accede as additional guarantors in respect of the above Notes (the Guarantor Accessions); and

(iii)  the Outgoing Issuer, the New Issuer, the Initial Guarantor and the Acceding Guarantors will, with the consent of the Note Trustee, enter into documentation supplemental to the Note Trust Deed and the other Programme Documents to give effect to the Substitution and the Guarantor Accessions.

An application has been made to the London Stock Exchange to reflect the Substitution in the listing on the International Securities Market with effect from 4 February 2026.

It is intended that any further Notes to be issued under the £1,000,000,000 Guaranteed Secured Note Programme originally established by the Outgoing Issuer will be issued by the New Issuer and will be guaranteed by the Initial Guarantor and the Acceding Guarantors.

Terms used but not defined in this announcement have the meanings given to them in the Note Trust Deed.
