Introducing Financial Infrastructure Strategy

KR1 plc (LSE:KR1), a digital asset technology company, is pleased to provide a strategic update.

Since migrating the Company's listing to the London Stock Exchange at the end of 2025, the board of directors (the "Board"), management and team have been working on the evolution of the Company's strategy, operations and income streams.

Building on the Company's strong track record in staking activities, and in line with its strategy as outlined in the prospectus published on 29 October 2025 (the "Prospectus"), the Company is pleased to introduce KR1 plc's Financial Infrastructure Strategy to complement the Company's existing operations.

Key highlights

-     As part of this, KR1 plc has commenced the acquisition of Bitcoin ("BTC"), alongside further Ethereum ("ETH") purchases, which will both form key assets within the Financial Infrastructure Strategy.

-     In the Board's view, Bitcoin and Ethereum have untapped potential within Ethereum's decentralised finance ecosystem ("DeFi") as productive assets.

Bitcoin and Ethereum will both be utilised by the Company within DeFi alongside a risk mitigation strategy through Nexus Mutual smart contract cover. This enables a low risk approach whilst providing the opportunity to generate higher yields relative to market alternatives.

The Company is targeting to utilise up to ~20% of the Company's holdings in its Financial Infrastructure Strategy. Relevant acquisitions are being funded from existing income streams as well as from adjustments to some underperforming holdings of the Company; all to be kept under review by the Board in line with market conditions.

Under the Company's Financial Infrastructure Strategy, KR1 is developing further operations including in relation to stablecoins as well as the Company's existing Nexus Mutual holding with more assets to follow. This supports greater diversification across the digital asset ecosystem and the Company's income streams. While certain Financial Infrastructure operations may require assets to be locked at times, the Company will actively manage its holdings to ensure sufficient liquidity is maintained at all times to support its operations.

The Company's overall strategy remains focused on decentralised technologies and the generation of income from digital assets, which is currently achieved through staking activities on proof-of-stake networks and will be strengthened and complemented through the launch of KR1 plc's Financial Infrastructure Strategy. As detailed in the Prospectus, the Company will continue to manage its assets to optimise medium to long-term capital growth as well as pursue strategic investments in the digital asset sector through assets related to innovative decentralised networks with a view to achieving diversification, while positioning the Company to benefit from the long-term growth and evolution of the digital asset ecosystem.

The Company's staking activities, including the planned launch of validator nodes on Ethereum and other networks, as detailed in the Prospectus, as well as further technology operations across Oracles and Data Availability will primarily be referred to as KR1 plc's Technology Infrastructure Strategy. This activity remains the primary focus and will constitute a majority of the holdings of the Company.

George McDonaugh and Keld van Schreven, Managing Directors and Co-Founders of KR1 plc, commented:

"Since we started KR1 almost a decade ago, the digital asset market has evolved from experimentation to a global movement. Throughout this period, KR1 has adapted its strategy in line with these structural shifts, leveraging the technical expertise and industry relationships of our team. We are entering a new phase of KR1 with our LSE listing and institutional positioning, and we see Bitcoin and Ethereum DeFi as being underserved in the public markets."

"As this technology scales we believe KR1 is best positioned to create long-term value through disciplined participation in this infrastructure layer. The Company enters 2026 on the London Stock Exchange in a strong financial position, debt-free and supported by recurring cash flows from staking activities with new income streams to follow. With our financial infrastructure strategy we are targeting real income through yield generation on the underlying assets; clearly differentiating KR1 from the public digital asset treasury company model."
