Plan for Structuring Board and Board Committees

 

KEFI (AIM: KEFI), the gold and copper exploration and development company with projects in Ethiopia and Saudi Arabia, announces the appointment of Danny Callow as an independent Non-Executive Director of the Company with immediate effect. We are also pleased to outline the plan for structuring the Board and the Board committees.

 

Mr Callow has extensive experience in building mines in Africa, with previous roles including Head of African Copper Operations for Glencore, CEO of Mopani Copper Mines and Mutanda Copper Mine in Zambia and the DRC, COO of Consolidated Copper Corp, and in the last seven years with Toubani Resources, initially as COO before becoming CEO, transitioning to Executive Chairman, and more recently to the role of Non-Executive Director.

 

From the KEFI Board's viewpoint, Mr Callow fills the vacancy left by the retirement of Richard Robinson at the Company's recent AGM.

 

KEFI's policy for the current Board composition is that, pending the start-up of production at Tulu Kapi, it comprises the founding executive directors, the Executive Chairman and Finance Director, and four independent Non-Executive Directors with complementary skills and experience, Chairing an appropriate Board committee:

 

·    Dr Alistair Clark, Senior Independent Director, Deputy Chairman and Chair of ESG and Sustainability

·    Addis Alemayehou, Non-Executive Director and Chair of Nomination and Remuneration

·    Maleda Bisrat, Non-Executive Director and Chair of Audit and Risk

·    Danny Callow, Non-Executive Director and Chair of Operations and Physical Risks

 

The committees comprise all Non-Executives, with the Executive Chairman attending to report along with other relevant executives and advisers. All Non-Executive Directors will also shortly join the main Company subsidiary boards in order to ensure timely and effective transparency. The three operating group companies are KEFI, its 100% subsidiary KME Minerals Ethiopia Holdings Share Company ("KMEH") and its 95%-owned Tulu Kapi Gold Mines Share Company ("TKGM"). 

 

Alongside the Executive Chair and Finance Director other senior executives on specific subsidiary boards to ensure transparency and maximum accountability will shortly comprise the following:

 

·    KEFI Group Chief Operating Officer Eddy Solbrandt as Director of KMEH and Deputy Chair of TKGM;

·    Country Adviser-Ethiopia Abera Mamo as Deputy Chair of KMEH; and

·    Managing Director of TKGM Simon Cleghorn.

 

At about the start-up of production at Tulu Kapi, planned for mid-2028, the KEFI Board expects that a Chief Executive Officer will be appointed and the current Executive Chairman will become Non-Exective Chairman. The Finance Director will then retire and a replacement be appointed. Internal staff development and recruitment is in process as part of this and wider succession planning.

Harry Anagnostaras-Adams, Executive Chairman

Mr Anagnostaras-Adams (B. Comm, MBA) founded KEFI, was inaugural Chairman and has been Executive Chairman since 2014. He holds a Bachelor of Commerce (Finance and Systems) from the University of New South Wales, Australia and a Master of Business Administration from the Australian Graduate School of Management. He qualified as a Chartered Accountant while working with PricewaterhouseCoopers.

Mr Anagnostaras-Adams also founded AIM and TSX-listed Atalaya Mining PLC (previously EMED Mining Public Ltd) which is now a major European copper producer and Venus Minerals PLC which is exploring for copper in Cyprus. Mr Anagnostaras-Adams has previously served as the Managing Director of Atalaya Mining PLC, ASX and AIM-listed, Devex Limited (later Gympie Gold Limited), Executive Director of investment company Pilatus Capital Ltd., General Manager of the resources investment group Clayton Robard Limited Group, Senior Investment Manager of Citicorp Capital Investors Australia Ltd. and serves (or has served) as a Non-Executive Director of many other public and private companies across a range of industries. He has led or supported many successful natural resource investment companies and start-ups in gold, natural gas, industrial minerals.

John Leach, Finance Director

Mr Leach was appointed Non-Executive Director and part-time Finance Director in December 2006 with responsibility for oversight of the Company's finance and accounting functions. In August 2016, he assumed a full-time role as Finance Director as part of the Company's transition towards gold production.

Mr Leach holds a Bachelor of Arts (Economics) and a Master of Business Administration. Mr Leach qualified as a Chartered Accountant in both Australia and Canada and a Fellow of the Australian Institute of Directors. He has over 30 years' experience in senior financial and executive director positions within the mining industry internationally. Mr Leach has served on the Board of AIM and TSX-listed Atalaya Mining PLC (2007 to 2014) and is a former Chairman of the boards of Pan Continental Oil & Gas NL (2017), Resource Mining Corporation Limited (2006 to 2007) and served on the Board of Gympie Gold Limited (1995 to 2003).

Alistair Clark, Senior Independent Non-Executive Director and Deputy Chairman

Dr Alistair Clark was Managing Director, Environment and Sustainability Department at the European Bank for Reconstruction and Development ("EBRD") from 2001 to 2021. Alistair obtained his PhD from Imperial College, London and was recently a Non-Executive Director of UK Export Finance and Chair of the Export Guarantees Advisory Council.

He also provides advisory services to global institutions on investment opportunities in East Africa. Currently, Mr Alemayehou is a Board Member of Dangote Industries Ethiopia.

Maleda Bisrat, Non-Executive Director

Ms Maleda Bisrat is the Ethiopian Country Director at the Tony Blair Institute for Global Change, leading a multidisciplinary team working closely with the government on economic reform, investment, job creation and digital transformation. Prior to this, she was an adviser to the Ethiopian Investment Commission supporting industrialisation, investment promotion and climate initiatives. Maleda is also a Non-Executive Director of Financial Sector Deepening Ethiopia, an agency that is helping develop accessible, inclusive and sustainable financial markets for economic growth and development, and a Non-Executive Director of Zebidar Foundation, an organisation committed to improving quality of education for students living in underserved communities.
