Intercede, the leading cybersecurity software company specialising in digital identities, announces that it received notification of exercise from Nitil Patel, Chief Financial Officer, in relation to 500,000 share options ("Options") over ordinary shares of 1p each in the Company ("Ordinary Shares") at an exercise price of 38.0 pence pursuant to the Company's Enterprise Management Incentive Plan (the "Exercise").

 

Following this exercise, Nitil Patel is now interested in 560,097 Ordinary Shares in the Company, representing 0.92 per cent. of the Company's total voting rights.

 

Accordingly, application has be made for 500,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to occur at 8.00 a.m. on or around 24 July 2026.

 

The new Ordinary Shares will rank pari passu with the existing shares of the Company. Following Admission, The Company will have 61,036,452 Ordinary Shares, each with voting rights. The Company holds 373,906 Ordinary Shares in treasury, therefore the total number of voting rights in the Company is 60,662,546. Accordingly, the figure of 60,562,446 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
