Intermediate Capital Group plc (the "Company") - Notice of Annual General Meeting

The Company refers to the Notice of Annual General Meeting ("AGM") posted to shareholders on 15 June 2015 and available on its website at www.icgplc.com.  The Company notes that an incorrect number was printed in resolution 15 in the Notice of AGM.  This resolution shall be amended at the AGM to take place on 15 July 2015 by the Chairman under the Company's articles of association such that the amount at the end of paragraph (ii) of Resolution 15 shall be £4,029,000 (being approximately 5% of the Company's issued ordinary share capital at the last practicable date before posting of the Notice) rather than the amount of £40,290,000 mistakenly printed in the Notice.
