                    Notification of Substantial Shareholding


The Company received notification today that DG & MB Conn and Associates,
purchased 15,000 ordinary shares in Highcroft on 07 September 2004.

Following this purchase, DG & MB Conn and Associates have an interest in 732,247
ordinary 25p shares in Highcroft, which represents approximately 14.17% per cent
of the Company's issued ordinary share capital.
