11. Additional Information
This notification is made by the trustees for the time being of the Billown 1997 Settlement (the "Trustees") as indirect holders of the voting rights attached to shares in Harworth Group plc held by Peel Pepper (UK) Limited and Goodweather Holdings Limited, both of which are ultimately controlled by the Trustees.
The voting rights held by Goodweather Holdings Limited were previously notified by Goodweather Holdings Limited in its TR-1 published on 12 February 2026. Following the acquisition of shares by Peel Pepper (UK) Limited, the Trustees are now notifying as the ultimate controlling person of the combined voting rights held through those two entities. The chain of controlled undertakings is set out in Section 9.
Goodweather Holdings Limited has not acquired or disposed of any shares since its previous notification.
The total includes 22,348,378 shares for which valid acceptances of the Offer have been received. The Offer became unconditional on 29 September 2026. From that time Peel Pepper (UK) Limited may exercise the voting rights attached to those shares under the authority granted in the Form of Acceptance Offer Document, pending settlement and registration.
The percentage of voting rights in this notification has been calculated using 327,009,371 voting rights in Harworth Group plc, being the total number of voting rights disclosed by the issuer in its Total Voting Rights announcement dated 13 October 2026.
